Terms of Service

Last updated October 26, 2026

These Terms of Service (“Terms”) are an agreement between you and PrepForecast (“PrepForecast”, “we”, “us”) for use of the PrepForecast website, web app, emails and related services (the “Service”). By creating an account, booking a demo, or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so.

1. The Service

PrepForecast is software for restaurants that forecasts sales and suggests how much bread to bake and food to prep, based on the sales history, settings and other information you provide, weather data and calendar information. Features may change over time as we improve the Service.

2. Forecasts are estimates – you make the final call

Forecasts, prep plans, stop lines, PARs, savings figures and any other numbers in the Service are estimates, not guarantees. They depend on the accuracy of your data and on things no one can predict. You and your staff remain responsible for ordering, baking, prepping, food safety, staffing and all other business decisions. We are not responsible for running out of product, waste, lost sales or other results of decisions made using the Service.

3. Accounts

  • You must be at least 18 and provide accurate information, including a working email address.
  • Keep your password secure. You are responsible for activity in your account and for people you allow to use it.
  • Tell us right away at admin@prepforecast.com if you believe your account has been accessed without permission.

4. Free trial, subscription and billing

  • Free trial. New accounts get a free trial (currently 14 days). Unless you cancel before it ends, your paid subscription starts automatically at the end of the trial.
  • Price. The subscription is billed monthly per store, at the price shown on our website or at checkout, plus any applicable taxes. If you add or remove stores, your charges adjust, which may include prorated amounts.
  • Automatic renewal. Your subscription renews every month and your payment method is charged automatically until you cancel.
  • Cancelling. You can cancel any time from the Billing page. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are not refunded, except where the law requires.
  • Payments. Payments are processed by Stripe. We do not see or store your full card number. If a payment fails, we may suspend daily emails or other features until it is resolved.
  • Price changes. We will give you at least 30 days’ notice by email before a price change takes effect for your subscription. If you don’t agree, you can cancel before it takes effect.

5. Your data

You own the data you put into the Service, such as sales figures, store settings, prep items, leftover counts and events (“Your Data”). You give us permission to store, process and use Your Data to provide, secure, support and improve the Service. We may use de-identified, aggregated information (which does not identify you or your business) to improve our forecasting and the Service. You confirm you have the right to share Your Data with us, including data from your point-of-sale system or spreadsheets. How we handle personal information is explained in our Privacy Policy.

You can ask for an export of Your Data, or for your account to be deleted, at any time by emailing us.

6. Our property

The Service – including its software, forecasting methods, design, text, graphics, documentation and the PrepForecast name and logo – belongs to PrepForecast and its licensors and is protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use the Service for your own business while your account is in good standing. If you send us ideas or feedback, we may use them without any obligation to you.

7. Acceptable use

You agree not to:

  • copy, resell, rent or share access to the Service, or use it to build a competing product;
  • reverse engineer, decompile or try to extract the source code or forecasting methods, except where the law clearly allows it;
  • access the Service by automated means (scraping, bots) or interfere with its security or performance;
  • upload anything unlawful, harmful or that you don’t have the right to share, or use the Service to break any law.

8. Third-party services

The Service works with services run by others – for example Stripe (payments), point-of-sale providers, Google Sheets, weather providers and email delivery. Your use of those services is governed by their own terms. We are not responsible for their availability, accuracy or actions.

9. Messages from us

By creating an account you agree that we may send you service emails, such as your daily prep sheet, billing notices and account messages. If you gave consent on our demo form, we may also call or text you about your demo and the Service, including using automated technology or an AI assistant. Consent to calls and texts is not required to buy. Reply STOP to any text to opt out, and use the unsubscribe link in any marketing email.

10. AI features

Some features may use artificial intelligence. AI output can be incomplete or wrong; review it before relying on it.

11. Availability and changes

We work to keep the Service running but do not promise it will be uninterrupted or error-free. We may carry out maintenance, and we may change, add or remove features. If we discontinue the Service entirely, we will give you reasonable notice and a chance to export Your Data.

12. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or end your access if you break these Terms, don’t pay, or create a risk to the Service or others. After your account ends, we may delete Your Data after a reasonable period, subject to our Privacy Policy and the law.

13. Disclaimer

TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (a) PREPFORECAST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, FOOD OR DATA; AND (b) PREPFORECAST’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some places do not allow these limits, so they may not fully apply to you.

15. Indemnity

You agree to defend and compensate PrepForecast for claims, losses and costs (including reasonable legal fees) arising from your misuse of the Service, Your Data, or your breach of these Terms.

16. Governing law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Missouri, and you and we consent to their jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally by contacting the other for at least 30 days.

17. Changes to these Terms

We may update these Terms. If a change is significant, we will tell you by email or in the app before it takes effect. Continuing to use the Service after the change takes effect means you accept the updated Terms.

18. General

These Terms and our Privacy Policy are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a part of these Terms is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, sale or reorganization.
